We are operating on Windows 98. Do we have to already
have the 2nd edition installed to upgrade to XP? We have
tried to install XP & it won't finish installing.

No, you do not. WinXP should install just fine over win98.

Of course, it may be a better idea to make a clean install of XP.

Please provide error messages and try the winXP groups for help

If you are having problems installing Windows XP you should post a message
in the Windows XP newsgroups explaining the problem and any error messages
you see.
